Graphics chipmaker Nvidia has agreed to buy SoftBank Group’s chip division, Arm Ltd., for $40 billion, marking the largest semiconductor deal ever.

Nvidia will pay $21.5 billion in stock and $12 billion in cash for the chip designer, including $2 billion payment at signing. SoftBank may receive an additional $5 billion in cash or stock, dependent on Arm’s performance. Nvidia will also issue $1.5 billion in equity to Arm employees.

“The combination brings together Nvidia’s leading AI computing platform with Arm’s vast ecosystem to create the premier computing company for the age of artificial intelligence, accelerating innovation while expanding into large, high-growth markets,” Nvidia, Arm, and SoftBank said in a statement.

Nvidia added that it plans to keep Arm’s headquarters in the UK, where it will also build an artificial intelligence research center.

The deal will require regulatory approval from the UK, European Union, US, and China. The British government said it could intervene in the deal, as some politicians are concerned about preserving jobs at the company.
